1. Agreement to Terms

4. Intellectual Property Rights

Unless otherwise specified in a separate written agreement:

• All intellectual property rights in the work product created by Keen Nerds shall be owned by the client upon full payment
• Keen Nerds retains the right to use general knowledge, skills, and experience gained during projects
• Keen Nerds may showcase completed projects in our portfolio unless otherwise agreed in writing
• Any pre-existing materials or tools used by Keen Nerds remain our property

5. Payment Terms

Payment terms are as follows:

• All fees are quoted in USD or KES as agreed
• Payment schedules will be specified in individual project agreements
• Late payments may incur additional fees as specified in the project agreement
• All payments are non-refundable unless otherwise stated in writing
• We reserve the right to suspend services for non-payment

6. Project Timelines

Project timelines are estimates based on the information provided at the time of agreement. Timelines may be affected by factors including but not limited to: delayed client feedback, scope changes, or unforeseen technical challenges. We will communicate any timeline changes promptly.

7. Warranties and Disclaimers

We warrant that:

• Services will be performed in a professional and workmanlike manner
• We have the right to provide the services offered
• Deliverables will substantially conform to specifications agreed upon in writing

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

To the maximum extent permitted by law, Keen Nerds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the business relationship. This obligation shall survive the termination of any agreement between the parties.

10. Termination

Either party may terminate services under the following conditions:

• With 30 days written notice for ongoing services
• Immediately for material breach of these terms
• Immediately if the other party becomes insolvent or enters bankruptcy

Upon termination, the client remains responsible for payment of all services rendered up to the date of termination.

11. Modifications to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the new terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Kenya.
